US Court Temporarily Halts Paramount-Warner $110 Billion Merger

A federal court in the United States has ordered a temporary halt to the merger process between Paramount Skydance and Warner Bros. Discovery, valued at $110 billion, for at least two weeks. The court accepted antitrust concerns from 12 state governments and decided to conduct further hearings. A judge from the Northern District of California issued a temporary restraining order to pause Paramount's acquisition of Warner Bros. As a result, the two companies will not be able to complete the merger for at least 14 days. The court determined that the state governments' antitrust claims present sufficient issues to be contested in the main case. The judge stated that both companies could continue to compete as independent entities while awaiting the court's decision. A hearing is scheduled for next month on the 3rd to determine whether to issue a preliminary injunction. The state governments argued that if the merger is completed, it would control about one-third of the U.S. theatrical film distribution market and the cable TV programming market. Paramount countered that competition in the film distribution market is sufficient due to the growth of new entrants like A24 and Amazon MGM. While the U.S. Department of Justice approved the deal unconditionally, the European Union is conducting a separate review. If the litigation prolongs, Paramount will incur a penalty of $7 million per day.
