37 million Celsius bankruptcy shares blocked from immediate cash-out after Ionic Digital Nasdaq debut
Ionic Digital began trading on Nasdaq under the ticker IOND on July 28, following its acquisition of Celsius Mining assets. The direct listing created a public market for existing Class A shares, including those linked to the Celsius bankruptcy plan, but did not allow all holders to sell immediately. Ionic did not sell shares or receive proceeds from existing stockholders' sales, focusing instead on price discovery for existing equity. The 37 million Class A shares were issued to former approved creditors of Celsius Network when Ionic acquired the assets on January 31, 2024. Ionic reported around 82,000 stockholders of record prior to the listing, but the prospectus did not specify how many were Celsius creditors. Additionally, 10,800,164 resale shares were registered from a June 2026 private placement, which could not be transferred below 70 dollars per share for six months. The remaining 37,214,869 outstanding Class A shares could be sold under Securities Act exemptions, but holder-specific limits may apply. For some holders, immediate access was not guaranteed, as shares needed to be moved into brokerage accounts, a process that typically takes one to two business days. Nasdaq's opening reference price was 53 dollars, with IOND closing its first session at 62.90 dollars on approximately 1.58 million shares traded. The listing provided an exit route for creditor-linked equity, but not for all holders on the same day.
